1. Acceptance of Terms

By accessing, purchasing, registering for, or using any service provided by Shirlyn Host, including but not limited to web hosting, VPS hosting, domain registration, domain renewal, email hosting, cloud infrastructure, website management services, software licenses, maintenance services, and technical support, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.

These Terms of Service constitute a legally binding agreement between Shirlyn Host ("Shirlyn Host", "Company", "We", "Us", or "Our") and the individual, business, organization, or entity using our services ("Customer", "User", "Client", or "Account Holder").

If you do not agree with any provision of these Terms, you must immediately discontinue the use of our services and refrain from accessing any systems, platforms, websites, or infrastructure operated by Shirlyn Host.

Your continued access to or use of our services following any modification, update, amendment, or replacement of these Terms shall constitute your acceptance of such revised Terms. It is your responsibility to review these Terms periodically to remain informed of any updates.

Nothing contained within these Terms shall be interpreted as creating any partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, or other special relationship between the Customer and Shirlyn Host beyond the provision of services described herein.

2. Services

Shirlyn Host provides various internet-related services, including but not limited to web hosting, VPS hosting, cloud services, domain registration, domain renewal, email hosting, website maintenance, software licensing, managed services, and technical support.

All services are provided on an "as available" and "as provided" basis. While Shirlyn Host makes reasonable efforts to maintain reliable and secure services, we do not guarantee uninterrupted availability, continuous operation, or error-free performance.

Service interruptions may occur as a result of:

  • Scheduled maintenance activities.
  • Emergency maintenance procedures.
  • Software upgrades and system updates.
  • Hardware failures.
  • Network disruptions.
  • Security incidents or cyberattacks.
  • Third-party provider outages.
  • Regulatory requirements.
  • Force majeure events.
  • Circumstances beyond our reasonable control.

Shirlyn Host reserves the right to modify, upgrade, replace, suspend, discontinue, restrict, or remove any service, feature, functionality, package, platform, infrastructure component, or product where reasonably necessary for operational, technical, legal, compliance, security, or business purposes.

We may engage third-party vendors, infrastructure providers, payment processors, software licensors, cloud service providers, or subcontractors in connection with the delivery of our services. The use of such third-party providers shall not create any direct contractual relationship between the Customer and those providers.

Customers acknowledge that internet-based services inherently involve technical limitations, risks, and dependencies on external systems and that no service can be guaranteed to be completely secure, uninterrupted, or immune from failure.

3. Customer Responsibilities

Customers are solely responsible for all activities conducted under their account, whether performed directly by the account holder or by any individual authorized to access the account.

Customers agree to maintain accurate and current account information at all times, including contact information, billing details, and payment methods.

Customers are responsible for maintaining the confidentiality and security of account credentials, login information, passwords, API keys, authentication methods, and any other account access mechanisms.

Customers must take appropriate measures to protect their websites, applications, databases, email accounts, and associated systems from unauthorized access, misuse, or compromise.

Customers are solely responsible for maintaining independent backups of their websites, databases, emails, files, content, and any other data stored or transmitted through Shirlyn Host services. While backup services may be provided in certain circumstances, such services shall not be relied upon as the sole source of data protection.

Customers agree to use our services in compliance with all applicable laws, regulations, industry standards, and governmental requirements.

Customers shall not use our services for any activity that is unlawful, harmful, abusive, fraudulent, deceptive, or disruptive, including but not limited to:

  • Distribution of malware, ransomware, viruses, spyware, or malicious software.
  • Unauthorized access to systems, networks, servers, databases, or accounts.
  • Phishing, identity theft, fraud, scams, or deceptive activities.
  • Distribution of illegal content.
  • Intellectual property infringement.
  • Spam or unsolicited commercial communications.
  • Activities that compromise network stability, service performance, or infrastructure security.
  • Activities that violate the rights of third parties.

Shirlyn Host reserves the right to investigate any suspected violation of these Terms and may suspend, restrict, or terminate services where reasonably necessary to protect customers, infrastructure, legal interests, or business operations.

Customers remain responsible for all fees, damages, liabilities, losses, claims, and expenses arising from their use of the services or any violation of these Terms.

4. Payment and Billing

All services provided by Shirlyn Host are subject to applicable fees and charges as displayed on our website, customer portal, invoices, quotations, proposals, order forms, or other official billing channels.

Unless otherwise agreed in writing, all services are provided on a prepaid basis and must be paid in accordance with the selected billing cycle.

Billing cycles may include monthly, quarterly, semi-annual, annual, biennial, triennial, or other billing periods offered by Shirlyn Host from time to time.

Certain services, including but not limited to web hosting, VPS hosting, cloud services, software licenses, maintenance plans, email hosting, domain registrations, domain renewals, SSL certificates, and other recurring services, may automatically renew upon expiration of the current service period unless cancelled before the applicable renewal date.

Automatic renewal is intended to prevent unintended service interruption, account suspension, website downtime, domain expiration, email disruption, service deactivation, loss of access, or deletion of associated resources.

By adding, storing, saving, updating, or authorizing a payment method within your account, you authorize Shirlyn Host and its authorized payment processors to charge the designated payment method for recurring invoices, renewals, subscriptions, active services, outstanding balances, and any applicable fees associated with your account.

Customers are solely responsible for:

  • Monitoring active services associated with their account.
  • Reviewing invoices and billing communications.
  • Maintaining valid payment methods.
  • Ensuring sufficient funds are available for billing transactions.
  • Monitoring renewal dates and service expiration dates.
  • Submitting cancellation requests before the applicable renewal date.

Services shall remain active and eligible for renewal until a valid cancellation request has been submitted and processed through the designated cancellation procedure.

Failure to submit a cancellation request before the applicable renewal date may result in automatic renewal and billing.

Cancellation requests submitted after a renewal payment has been successfully processed shall only prevent future renewals and shall not affect the validity of the completed renewal transaction.

Shirlyn Host may provide invoices, billing notices, renewal reminders, account notifications, service alerts, or other communications as a courtesy. However, customers remain solely responsible for monitoring their account, services, billing cycles, and renewal dates regardless of whether such notifications are received.

All payments successfully processed for active services shall be deemed authorized transactions unless otherwise determined by applicable law or a competent authority.

Unless otherwise expressly stated in writing, all payments made to Shirlyn Host are final and non-refundable.

Refunds shall not be provided for:

  • Services that have already been activated, provisioned, renewed, delivered, configured, or consumed.
  • Cancellation requests submitted after payment has been successfully processed.
  • Unused portions of hosting plans, subscriptions, service periods, or prepaid services.
  • Customer oversight regarding renewal dates, invoices, account notifications, billing settings, or payment methods.
  • Service interruptions caused by circumstances beyond our reasonable control.

In the event of a chargeback, payment dispute, claim of unauthorized transaction, or payment reversal, Shirlyn Host reserves the right to submit account records, billing records, invoices, payment history, service records, account activity logs, customer communications, and other relevant documentation to payment processors, financial institutions, dispute resolution providers, or legal authorities as supporting evidence.

5. Suspension and Termination

Shirlyn Host reserves the right to suspend, restrict, terminate, or refuse access to any service, account, or resource where reasonably necessary to protect its customers, infrastructure, systems, legal interests, reputation, security, or business operations.

Suspension or termination may occur with or without prior notice where Shirlyn Host reasonably believes that immediate action is necessary to prevent harm, abuse, disruption, legal liability, security risks, or operational issues.

Reasons for suspension, restriction, or termination may include, but are not limited to:

  • Violation of these Terms of Service.
  • Failure to pay invoices or outstanding balances.
  • Fraudulent, deceptive, or suspicious activities.
  • Unauthorized access attempts or security violations.
  • Abuse of system resources.
  • Activities that negatively impact service performance or network stability.
  • Distribution of malicious software.
  • Spam, phishing, or abusive communications.
  • Intellectual property violations.
  • Requests from legal, regulatory, governmental, or law enforcement authorities.
  • Circumstances that may expose Shirlyn Host to legal, financial, operational, or reputational risk.

Where reasonably practicable, Shirlyn Host may provide notice prior to suspension or termination. However, no such notice shall be required where immediate action is deemed necessary.

Customers remain responsible for all fees, charges, obligations, and liabilities incurred prior to suspension or termination.

Upon suspension or termination, access to websites, applications, databases, email accounts, files, backups, content, server resources, and other associated services may be restricted, disabled, suspended, or permanently removed.

Shirlyn Host shall not be responsible for any losses, damages, service interruptions, business disruption, data loss, or other consequences arising from the suspension or termination of services in accordance with these Terms.

Termination of services shall not relieve the Customer of any obligation to pay outstanding fees, charges, penalties, or amounts due prior to termination.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Shirlyn Host, its directors, officers, employees, contractors, affiliates, suppliers, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or economic damages arising out of or related to the use of, inability to use, interruption of, or reliance upon our services.

This limitation shall apply regardless of whether such damages arise from contract, tort, negligence, strict liability, statutory claims, or any other legal theory.

Without limitation, Shirlyn Host shall not be liable for:

  • Loss of revenue.
  • Loss of profits.
  • Loss of business opportunities.
  • Loss of anticipated savings.
  • Loss of customers.
  • Loss of goodwill.
  • Loss of contracts.
  • Loss of data.
  • Data corruption.
  • Business interruption.
  • Reputational damage.
  • Security incidents beyond our reasonable control.
  • Third-party service failures.
  • Domain expiration resulting from customer inaction.
  • Customer errors or misconfigurations.

Customers acknowledge and agree that internet-based services inherently involve technical risks, operational risks, cybersecurity risks, and dependencies on third-party infrastructure.

No service can guarantee complete security, uninterrupted availability, error-free operation, or immunity from cyber threats, software defects, hardware failures, or external disruptions.

To the fullest extent permitted by law, the total aggregate liability of Shirlyn Host for any claim, dispute, action, or proceeding arising out of or relating to the services shall not exceed the total amount paid by the Customer to Shirlyn Host for the affected service during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations contained within this section constitute an essential basis of the agreement between the Customer and Shirlyn Host and shall survive the termination of services.

7. Changes to Terms

Shirlyn Host reserves the right to modify, amend, replace, supplement, or update these Terms of Service at any time and for any reason.

Updated versions of these Terms shall become effective upon publication on the Shirlyn Host website unless otherwise specified.

It is the responsibility of the Customer to review these Terms periodically to remain informed of any changes.

Continued access to or use of the services following the publication of updated Terms constitutes acceptance of the revised Terms.

If a Customer does not agree with any modification to these Terms, the Customer must discontinue use of the services and submit a request to cancel any active services in accordance with the applicable cancellation procedures.

No waiver, delay, or failure by Shirlyn Host to enforce any provision of these Terms shall be deemed a waiver of any rights or remedies available under these Terms.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court or competent authority, the remaining provisions shall remain in full force and effect.

Shirlyn Host may rely on the contact information provided within the customer account as the primary method of communication for administrative, operational, billing, security, and legal matters.

Failure to receive communications due to outdated, inaccurate, inaccessible, blocked, filtered, or otherwise unavailable contact information shall not relieve the Customer of any obligations under these Terms of Service.
